Terms of Use

These Terms of Use (the "Terms") govern your access to and use of Cosantoir websites, applications, browser extension, account dashboard, subscriptions, and related services (collectively, the "Service"), operated by Cosantoir ("Cosantoir," "we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Changes to Terms

We may update these Terms from time to time. Changes are effective when posted. Continued use of the Service after updates means you accept the revised Terms.

2. Eligibility

You must be legally able to enter into these Terms. If you use the Service on behalf of an organization, you confirm you have authority to bind that organization.

3. Accounts and Security

Some features require an account. You are responsible for maintaining credential confidentiality, all activity under your account, and prompt notice of unauthorized access or security incidents. You may not use another user's account without permission.

4. Ownership and Intellectual Property

All software, designs, branding, logos, text, graphics, audio, video, and other materials provided through the Service are owned by Cosantoir or licensed to Cosantoir and protected by applicable law. Except as expressly allowed, you may not copy, reproduce, republish, modify, distribute, reverse engineer, or create derivative works without prior written consent.

5. Acceptable Use

• Do not use scraping tools, bots, spiders, or automated means to collect data without permission.
• Do not attempt unauthorized access to accounts, systems, devices, or networks.
• Do not interfere with Service performance, availability, or security controls.
• Do not impersonate any person or entity, or misrepresent your affiliation.
• Do not use the Service for unlawful, fraudulent, or harmful activity.
• Do not violate rights of others, including privacy and intellectual property rights.

6. User Content

If you upload or submit content ("User Content"), you represent you have the rights needed to do so. You grant Cosantoir a non-exclusive, worldwide, royalty-free license to host, use, process, reproduce, and display User Content solely to operate, improve, and provide the Service. You remain responsible for your User Content and related legal obligations.

7. Purchases, Subscriptions, and Additional Terms

Paid plans are billed according to your selected cycle. Unless canceled before renewal, subscriptions renew automatically. Certain features, promotions, or add-ons may include additional terms. If there is a conflict, those feature-specific terms control for that feature.

8. Trials, Promotions, and Pricing Changes

Trial and promotional offers may include separate terms, including duration, eligibility, and conversion to paid service. Unless canceled according to offer terms, paid service may begin automatically at trial end. We may adjust pricing for future billing cycles as allowed by law.

9. Refunds and Chargebacks

Refund eligibility is governed by our published refund policy and applicable law. If a payment dispute or chargeback is initiated, we may temporarily limit account features while the matter is reviewed.

10. Third-Party Services

The Service may link to or integrate with third-party providers. We do not control and are not responsible for third-party content, policies, or practices.

11. Privacy

Your use of the Service is also subject to our Privacy Policy. By using the Service, you acknowledge that internet communications are not fully secure.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. Cosantoir disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not guarantee uninterrupted, secure, or error-free service.

13. Limitation of Liability

To the maximum extent permitted by law, Cosantoir and its affiliates, officers, employees, and partners are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption related to your use of the Service.

Where liability cannot be fully excluded, Cosantoir's total liability is limited to the greater of (1) amounts you paid to Cosantoir for the Service in the six months before the claim, or (2) US $100.

14. Indemnification

Where permitted by law, you agree to indemnify and hold harmless Cosantoir and its affiliates, officers, employees, and agents from claims, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

15. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms, if required by law, or if needed to protect the Service, users, or Cosantoir.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law rules. Disputes will be resolved in courts located in Santa Clara County, California, unless mandatory law requires otherwise.

17. Compliance with Laws

You agree to comply with all applicable laws, including export control and sanctions laws, in connection with your use of the Service.

18. Severability, Waiver, and Entire Agreement

If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver. These Terms, together with incorporated policies and feature-specific terms, are the entire agreement between you and Cosantoir regarding the Service.
